Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Backoffiz ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Backoffiz provides Microsoft AI consulting services, including but not limited to Copilot Studio implementations, Azure OpenAI integrations, Power Platform solutions, and custom application development. We also offer software-as-a-service (SaaS) applications through our Apps platform.

3. Account Registration

To access certain features of our services, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Payment Terms

Consulting Services

Fees for consulting services will be outlined in a separate Statement of Work (SOW) or service agreement. Payment terms, including schedule and method, will be specified in the applicable agreement.

Subscription Services

For subscription-based services:

• Fees are billed in advance on a recurring basis (monthly or annually)
• All fees are non-refundable except as required by law
• We may change subscription fees upon 30 days' notice
• You authorize us to charge your payment method on file

5. Cancellation and Refunds

Subscription Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period.

Refund Policy: Subscription fees are generally non-refundable. However, we may provide refunds at our discretion in the following cases:

• Service unavailability exceeding 72 consecutive hours
• Duplicate charges or billing errors
• Cancellation within 14 days of initial subscription (first-time subscribers only)

To request a refund, please contact support@backoffiz.com with your account details and reason for the request.

6. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful code, viruses, or malicious software
• Interfere with or disrupt our services or infrastructure
• Attempt unauthorized access to our systems
• Engage in fraudulent or deceptive practices
• Collect or harvest user data without consent

7. Intellectual Property

Our Property: All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by Backoffiz and protected by intellectual property laws.

Your Content: You retain ownership of any content you submit through our services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process such content as necessary to provide our services.

8. Confidentiality

We acknowledge that in the course of providing services, we may receive confidential information from you. We agree to maintain the confidentiality of such information and not disclose it to third parties without your consent, except as required by law or as necessary to provide our services.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACKOFFIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Backoffiz and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services or violation of these Terms.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Backoffiz is established, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
